The ideaforge Mission
ideaforge exists to help creators transform ideas into structured opportunities through evaluation, registration, development, and controlled commercialization.
The platform is designed to provide a secure environment where innovation can be evaluated, documented, strengthened, organized, and prepared for potential funding, licensing, acquisition, collaboration, or execution.
These Terms establish the rules governing participation in the ideaforge ecosystem.
By creating an account, submitting an idea, using any ideaforge service, or accessing any portion of the platform, you agree to these Terms.
1. What ideaforge Is
ideaforge is an innovation infrastructure platform.
The platform helps users:
- Evaluate ideas
- Analyze prior art and competitive overlap
- Structure innovation into digital assets
- Register IdeaID records
- Build assets through AI-assisted development
- Maintain version lineage
- Prepare opportunities for commercialization
- Connect creators with investors, buyers, collaborators, and strategic partners
ideaforge serves as a system for organizing and advancing innovation.
2. What ideaforge Is Not
ideaforge is not:
- A patent office
- A government registry
- A law firm
- A broker-dealer
- A securities exchange
- An investment advisor
- A valuation service
- A guarantee of funding
- A guarantee of patentability
- A guarantee of commercial success
Any information generated by the platform is informational only and should not replace professional legal, financial, accounting, tax, patent, trademark, or business advice.
3. Creator Ownership
Creators retain ownership of the ideas, materials, concepts, inventions, files, and innovation assets they submit to ideaforge.
Submission to the platform does not transfer ownership of an asset to ideaforge.
Nothing within ideaforge should be interpreted as an assignment of intellectual property rights to the platform.
Creators remain responsible for protecting, registering, licensing, assigning, enforcing, or commercializing their intellectual property.
4. Platform License
By submitting information to ideaforge, users grant ideaforge a limited license to:
- Store submitted information
- Process submissions
- Generate evaluations
- Produce platform intelligence
- Create IdeaID records
- Maintain asset history
- Generate reports and certificates
- Operate marketplace functionality
- Provide platform services
This license exists solely for operation of the platform.
5. The ideaforge Lifecycle
The ideaforge lifecycle currently consists of:
- 1Idea Input
- 2Evaluation Engine with Prior Art
- 3Registration / IdeaID V1
- 4Workspace / AI Co-Developer
- 5Re-Evaluation
- 6Registration / IdeaID V2
- 7Listing Preparation
- 8Marketplace / Controlled Exposure
Platform features may evolve over time.
6. Covered Assets
A Covered Asset includes any idea, concept, invention, process, system, product, technology, software, business model, design, content, documentation, file, or innovation asset submitted to ideaforge.
Covered Assets also include:
- Modified versions
- Improved versions
- Derivative versions
- Rebranded versions
- Successor versions
- Continuations
- Materially similar commercial implementations
where such versions substantially originate from the originally submitted asset.
6A. Evaluation Engine Attachment and Covered Asset Status
The Evaluation Engine is a value-generating platform service. Covered Asset status is established upon submission to the Evaluation Engine — not at Registration, not at Workspace participation, not at Marketplace publication.
When a creator submits an asset to the ideaforge Evaluation Engine, ideaforge immediately provides structured value through:
- Structured evaluation and readiness assessment
- Prior art intelligence and competitive analysis
- Market analysis and commercialization insight
- Strategic guidance and asset structuring
- Platform-generated intelligence and scoring
Because evaluation creates value, any asset submitted to the Evaluation Engine immediately becomes a Covered Asset under these Terms. Covered Asset status does not require, and is not conditional upon, any of the following:
- IdeaID Registration (V1 or V2)
- Workspace participation or AI-assisted development
- Re-Evaluation
- Listing Preparation
- Marketplace publication
- Investor or buyer engagement
Creator Rights Are Preserved
Users may stop using ideaforge at any time, for any reason. Creator ownership of the evaluated asset is not affected. Discontinuing use of ideaforge does not remove Covered Asset status, and does not, by itself, create any fee obligation.
When Success Fees May Apply
No Success Fee is owed as a result of evaluation alone. Success Fees become applicable only if a Covered Asset later results in a qualifying commercial outcome — such as a sale, acquisition, licensing agreement, or capital raise — as described in Section 8. Evaluation creates value. If that value leads to commercial results, applicable provisions may apply.
Covered Asset Status Survives
Covered Asset status survives:
- Account deletion or inactivity
- Asset abandonment
- Company formation, dissolution, or restructuring
- Rebranding or renaming of the asset
- Assignment or transfer of the asset
- Materially similar successor assets substantially originating from the evaluated asset
Non-Circumvention provisions (Section 9) and Success Fee obligations (Section 8) survive platform departure, account termination, and asset abandonment where a qualifying commercial outcome subsequently occurs.
7. Commercialization Origin Platform
A core function of ideaforge is helping creators transform early-stage ideas into structured opportunities.
When a creator uses ideaforge to evaluate, validate, structure, register, strengthen, develop, prepare, or expose a Covered Asset, ideaforge becomes a commercialization origin platform for that asset.
The creator acknowledges that value may be created through evaluation, prior art analysis, market intelligence, asset structuring, registration records, development guidance, commercialization preparation, and marketplace exposure.
Because of this contribution, certain commercialization activities involving Covered Assets may be subject to Success Fees as described below.
8. Success Fees
Success Fees apply only when a Covered Asset results in a qualifying commercial outcome. No Success Fee is owed merely for submitting an idea or running an evaluation.
Success Fees become applicable only upon commercialization, funding, licensing, acquisition, sale, partnership formation, or similar economic events involving a Covered Asset.
on the gross value of qualifying commercial transactions including:
- Asset sales and acquisitions
- Licensing and royalty agreements
- Strategic partnerships
- Joint commercialization agreements
- Technology transfers
- Revenue-share agreements
on capital raised in connection with a Covered Asset including:
- SAFE financings
- Convertible notes
- Equity financings
- Angel and venture investments
- Strategic investments
- Project financing
9. Non-Circumvention
Users may not intentionally use ideaforge services and then structure transactions outside the platform for the purpose of avoiding applicable Success Fees.
Examples include:
- Repackaging or renaming a Covered Asset
- Routing transactions through affiliates
- Concealing transaction value
- Delaying transactions to avoid platform obligations
- Moving negotiations off-platform solely to avoid Success Fees
Success Fees survive platform departure and account termination.
10–13. Marketplace, Registry, IdeaID & AI Services
Marketplace Participation
Publication of a marketplace listing does not guarantee funding, investment, licensing, acquisition, revenue, or commercial success. All participants remain responsible for their own diligence and decision-making.
Registry Records
ideaforge maintains platform records including IdeaID records, evaluation records, registration records, version lineage, asset history, supporting files, timestamps, and certificates. Registry records are not government registrations, patent registrations, trademark registrations, or legal ownership determinations.
IdeaID Registration
An IdeaID is a platform-issued identifier documenting an asset's progression through the ideaforge lifecycle. An IdeaID is not a patent, trademark, copyright, or governmental filing.
AI-Assisted Services
AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for specific purposes. Users remain responsible for independently evaluating all outputs.
14–19. Confidentiality, Integrity & Disclaimers
ideaforge is designed to support secure handling of innovation assets. However, no online platform can guarantee absolute confidentiality. Users remain responsible for determining what information to submit and when to share it.
ideaforge may suspend, restrict, remove, or terminate access to any asset, listing, account, or activity that violates these Terms, applicable law, or threatens platform integrity — without prior notice when reasonably necessary.
Use of ideaforge does not create a partnership, joint venture, agency relationship, fiduciary relationship, or employment relationship between ideaforge and any user.
ideaforge is not a broker-dealer, securities exchange, investment advisor, or funding portal unless expressly stated otherwise. Nothing on the platform constitutes investment advice, a securities offering, or a guarantee of returns. Users are responsible for compliance with all applicable securities laws.
Current Success Fees (5% commercialization / 3% capital formation) may be modified in the future with reasonable notice.
20–22. Platform IP, Liability & Indemnification
ideaforge owns the platform itself including software, branding, evaluation methodologies, registry architecture, lifecycle architecture, marketplace infrastructure, and platform-generated systems.
To the fullest extent permitted by law, ideaforge shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from platform use. The platform is provided on an “as-is” and “as-available” basis.
Users agree to indemnify and hold harmless ideaforge from claims arising from submitted materials, intellectual property disputes, misrepresentations, regulatory violations, breach of these Terms, or improper platform use.
23–24. Changes to Terms & Governing Law
ideaforge may update these Terms periodically. Continued use of the platform after publication of updated Terms constitutes acceptance of the revised Terms. Material changes may require renewed acceptance.
These Terms shall be governed by the laws of the applicable governing jurisdiction identified by ideaforge. Specific dispute resolution procedures, venue requirements, and arbitration provisions may be established in the final legal version of these Terms.
